These Terms of Service ("Terms") govern your access to and use of OSHEYY (the "Service"), operated by OSHEYY ("OSHEYY," "we," "us," or "our"), operating in Nigeria. By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
OSHEYY is a business operating in Nigeria and is in the process of completing formal company registration. These Terms apply regardless of the current stage of that process, and will be updated with registration details once available.
1. What OSHEYY Is
OSHEYY lets business owners in Nigeria create a hosted, multi-page business website (a "Site") without writing code, and connects each Site's products or services to the owner's WhatsApp number for ordering and enquiries. Each Site is published on a subdomain of OSHEYY.com (for example, yourbusiness.OSHEYY.com), or such other domain as we may use to operate the Service from time to time.
2. Accounts
- You must provide accurate information when creating an account, including a valid WhatsApp number you control.
- You're responsible for keeping your login credentials secure and for all activity under your account.
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
3. Roles: Business Owners and Agents
OSHEYY supports two account roles. Business Owners create and manage a Site for their own business. Agents may build and manage Sites on behalf of client businesses, including running demos and activating subscriptions for those clients.
Where an Agent creates or manages a Site for a Business Owner, the Agent is responsible for having the Business Owner's authorization to act on their behalf, including entering into paid plans. Any commission, revenue-share, or other compensation arrangement between OSHEYY and Agents will be set out in a separate agreement and is not covered by these Terms until formalized.
4. Free Trial
New Sites are eligible for a 3-day free trial. No payment method is required to start a trial. The trial allows you to review your website before deciding whether to pay for the Service. At the end of the trial period, your shop page becomes blurred unless you make the required payment.
We may change the length or availability of the free trial at any time, including for accounts we reasonably believe are being used to abuse repeated trials.
5. Fees, Activation, and Manual Renewal
Paid access may include a one-time website setup fee and a recurring service fee, as displayed on our pricing page at the time of payment. Fees are charged in Nigerian Naira (₦) unless stated otherwise. Payments are processed by a third-party payment processor; we do not store your full card or bank details.
- Payments are made in advance for the applicable service period.
- OSHEYY does not automatically charge renewal payments.
- When a trial or paid service period ends, you may manually make another payment through the available activation or renewal option to continue using the Service.
- If another payment is not made, your Shop page becomes blurred.
- We may change our fees for future service periods with reasonable notice.
6. No Refunds, No Proration
You are responsible for any taxes applicable to your use of the Service.
6. No Refunds
All payments made to OSHEYY, including setup fees and service or subscription fees, are non-refundable. The 3-day free trial is provided so that you can review and test the Service before making a payment.
After payment, we do not provide refunds, credits, partial refunds, or prorated refunds for unused time, dissatisfaction, a change of mind, or failure to use the Service, except where a refund is required by applicable law or where a duplicate or incorrect charge is confirmed to be our error.

7. Your Content
You retain ownership of the text, images, product listings, and other content you upload to your Site ("Your Content"). By uploading Your Content, you grant OSHEYY a license to host, display, reproduce, and distribute it solely for the purpose of operating and promoting the Service. You are responsible for making sure Your Content is accurate, lawful, and that you have the rights to use it, including any product photos, logos, or third-party images.
We may remove Content that we reasonably believe violates these Terms, infringes someone else's rights, or is unlawful.
8. Acceptable Use
You agree not to use the Service to:
- List or sell illegal goods or services, including counterfeit products;
- Impersonate another person or business, or misrepresent your affiliation with any person or entity;
- Send unsolicited bulk messages ("spam") to customers via WhatsApp or otherwise;
- Upload content that is fraudulent, defamatory, obscene, or that infringes intellectual property rights;
- Attempt to interfere with, disrupt, or gain unauthorized access to the Service or other users' Sites.
We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.
9. WhatsApp Integration
The Service links customers to your WhatsApp number so they can message you directly. OSHEYY is not a party to, and has no visibility into, the conversations, orders, or transactions that take place between you and your customers on WhatsApp. Your use of WhatsApp is also subject to WhatsApp's own terms, which are set by WhatsApp / Meta and not by OSHEYY.
10. Service Availability
We aim to keep the Service available and your Site online, but we do not guarantee uninterrupted access. We may perform maintenance, make changes, or temporarily suspend the Service, and we are not liable for losses arising from downtime, except where required by applicable law.
11. Account Suspension and Termination
You may stop using the Service at any time. If you do not make another payment after your trial or paid service period ends, your Shop page become blurred, but your account may remain available so that you can return and manually activate the Service again.
We may suspend or terminate your account if you breach these Terms, if required by law, or if we decide to discontinue the Service or a feature of it, with reasonable notice where practicable. Our no-refund terms survive account suspension or termination.
12. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available." To the maximum extent permitted by applicable Nigerian law, OSHEYY disclaims all warranties, express or implied, and is not liable for indirect, incidental, or consequential damages, including loss of profits or customers, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting a notice on the Service or updating the effective date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Disputes arising from these Terms will be subject to the exclusive jurisdiction of the Nigerian courts, unless otherwise required by applicable law.
Business Names and Content
You are responsible for the business name, logo, images, products, and other content you publish on your OSHEYY website. OSHEYY checks whether a website address is available within OSHEYY, but this does not confirm that the name is registered or protected outside OSHEYY.
Please do not use another business's identity, copy, logo, or content without permission. If we receive a credible complaint about a website, we may contact the account owner, restrict the website, or remove content while the matter is reviewed.
Agent Programme
Users who register as OSHEYY agents may create demo websites for prospective businesses, share official payment links, and help customers understand the OSHEYY service. Agents act as independent partners and are not OSHEYY employees.
Agent Commission
An agent may earn a one-time commission of ₦3,000 when a prospective customer pays the official OSHEYY setup fee through an OSHEYY payment link, the payment is successfully verified, and the customer's website is successfully created.
The commission is not recurring. Agents do not receive commissions on monthly renewals, annual renewals, future subscriptions, upgrades, or other later payments made by the customer.
Commission Approval and Payment
A commission is initially recorded as pending while OSHEYY verifies the payment and conversion. After approval, OSHEYY aims to pay the commission within 24 hours, provided the agent has supplied accurate bank details.
Payment may be delayed where bank details are missing or incorrect, a transaction is under review, or a bank or payment provider experiences a delay.
Invalid Conversions
A commission may be withheld, cancelled, or recovered if the related payment is refunded, reversed, disputed, charged back, duplicated, fraudulent, or otherwise found not to be a valid conversion. Only one initial commission is payable for each qualifying customer conversion.
Agent Responsibilities
Agents must provide accurate customer information, obtain permission before using customer content, and use customer information only for creating and converting an OSHEYY website.
Agents must not create fake conversions, refer themselves to obtain commission, create duplicate demos for the same customer, collect OSHEYY payments into personal accounts, make unauthorised pricing promises, send spam, or misrepresent OSHEYY's features or services.
Agent Account Suspension
OSHEYY may suspend or terminate an agent account for fraud, abuse, misleading representations, unauthorised payment collection, privacy violations, or other serious breaches of these Terms.
