These Terms of Service ("Terms") govern your access to and use of OSHEYY (the "Service"), operated by OSHEYYY ("OSHEYYY," "we," "us," or "our"), operating in Nigeria. By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
OSHEYYY is a business operating in Nigeria and is in the process of completing formal company registration. These Terms apply regardless of the current stage of that process, and will be updated with registration details once available.
1. What OSHEYY Is
OSHEYY lets business owners in Nigeria create a hosted, multi-page business website (a "Site") without writing code, and connects each Site's products or services to the owner's WhatsApp number for ordering and enquiries. Each Site is published on a subdomain of OSHEYY.ng (for example, yourbusiness.OSHEYY.ng), or such other domain as we may use to operate the Service from time to time.
2. Accounts
- You must provide accurate information when creating an account, including a valid WhatsApp number you control.
- You're responsible for keeping your login credentials secure and for all activity under your account.
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
3. Roles: Business Owners and Agents
OSHEYY supports two account roles. Business Owners create and manage a Site for their own business. Agents may build and manage Sites on behalf of client businesses, including running demos and activating subscriptions for those clients.
Where an Agent creates or manages a Site for a Business Owner, the Agent is responsible for having the Business Owner's authorization to act on their behalf, including entering into paid plans. Any commission, revenue-share, or other compensation arrangement between OSHEYYY and Agents will be set out in a separate agreement and is not covered by these Terms until formalized.
4. Free Trial
New Sites are eligible for a 3-day free trial. No payment method is required to start a trial. At the end of the trial period, your Site will be paused or unpublished unless you subscribe to a paid plan. We may change the length or availability of the free trial at any time, including for accounts we reasonably believe are being used to abuse repeated trials.
5. Fees and Payment
Paid plans consist of a one-time website setup fee and a recurring subscription fee, as displayed on our pricing page at the time you subscribe. Fees are charged in Nigerian Naira (₦) unless stated otherwise. Payments are processed by a third-party payment processor; we do not store your full card or bank details.
- Subscription fees are billed in advance for each billing period.
- We may change our fees for future billing periods with reasonable notice.
- Failure to pay a renewal fee may result in your Site being paused or unpublished.
- You are responsible for any taxes applicable to your use of the Service.
6. No Refunds, No Proration
All fees, including the one-time setup fee and subscription fees, are non-refundable. This applies regardless of whether you use the Service, cancel early, downgrade, or your account is suspended or terminated for breach of these Terms. We do not prorate fees for partial billing periods, and unused time on a subscription does not carry over or convert to credit if you cancel, pause, or switch plans. 7. Your Content
You retain ownership of the text, images, product listings, and other content you upload to your Site ("Your Content"). By uploading Your Content, you grant OSHEYYY a license to host, display, reproduce, and distribute it solely for the purpose of operating and promoting the Service. You are responsible for making sure Your Content is accurate, lawful, and that you have the rights to use it, including any product photos, logos, or third-party images.
We may remove Content that we reasonably believe violates these Terms, infringes someone else's rights, or is unlawful.
8. Acceptable Use
You agree not to use the Service to:
- List or sell illegal goods or services, including counterfeit products;
- Impersonate another person or business, or misrepresent your affiliation with any person or entity;
- Send unsolicited bulk messages ("spam") to customers via WhatsApp or otherwise;
- Upload content that is fraudulent, defamatory, obscene, or that infringes intellectual property rights;
- Attempt to interfere with, disrupt, or gain unauthorized access to the Service or other users' Sites.
We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.
9. WhatsApp Integration
The Service links customers to your WhatsApp number so they can message you directly. OSHEYYY is not a party to, and has no visibility into, the conversations, orders, or transactions that take place between you and your customers on WhatsApp. Your use of WhatsApp is also subject to WhatsApp's own terms, which are set by WhatsApp / Meta and not by OSHEYYY.
10. Service Availability
We aim to keep the Service available and your Site online, but we do not guarantee uninterrupted access. We may perform maintenance, make changes, or temporarily suspend the Service, and we are not liable for losses arising from downtime, except where required by applicable law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or if we decide to discontinue the Service or a feature of it, with reasonable notice where practicable. Section 6 (No Refunds, No Proration) survives termination.
12. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available." To the maximum extent permitted by applicable Nigerian law, OSHEYYY disclaims all warranties, express or implied, and is not liable for indirect, incidental, or consequential damages, including loss of profits or customers, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting a notice on the Service or updating the effective date above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Disputes arising from these Terms will be subject to the exclusive jurisdiction of the Nigerian courts, unless otherwise required by applicable law.
